Columbus Technology and Corporate Attorney Andrew Stevens' practice includes technology and corporate, venture capital, securities, mergers and acquisitions (M&A), data security and privacy, and commercial real estate. He has experience working with international and domestic companies, ranging from startups and middle market companies to Fortune 500 and multinational corporations.
Areas of Practice
Technology Law – In terms of technology law, his expertise includes technology transactions, product development, software licensing, technology licensing, information technology (IT), distribution, software as a service (SaaS), hardware, e-commerce, mobile commerce (m-commerce), open source software, and financial technology (fintech) and cryptocurrencies. He works closely with clients to develop clear and effective legal strategies, helping to protect and commercialize cloud-based services, software and app development, wearable technology, digital media, social media platforms, and Internet of Things (IoT) services and products.
Corporate – On the corporate side, his experience includes entity formation and complex restructuring, mergers and acquisitions, securities and exemptions, shareholder disputes, private equity, international business transations, corporate audits, liquidation and dissolution, and corporate governance and compliance. I’ve worked with companies from a variety of countries and industries including technology, software, finance, retail, manufacturing, construction, fashion, alcohol, telecommunications, fitness, healthcare, sports and entertainment, and real estate development.
Venture Capital – He works with both investors and founders on company financing and investment. He provides counsel on structuring funding, Regulation D exemptions, pre-money and post-money valuation, dilution, preemptive rights, vesting schedules, conversation rights, board structure, liquidation preferences. His practice includes negotiating and advising on term sheets, stock purchase agreements, investor rights agreements, and voting agreements.
Data Security and Privacy – Advising on both U.S. and international privacy and security regulations, he works with clients to develop systems that help ensure the protection of company and customer data. He counsels clients on federal privacy laws including th Health Insurance Portability and Accountability Act (HIPPA) and the Gramm-Leach-Bailey Act (GLBA), international localization requirements, and opt-in and opt-out requirements. His experience includes advising on data breach notifications and responding to international data breaches.
Trademarks and Copyrights – He assist clients with filing trademark and copyright applications with the U.S. Patent and Trademark Office (USPTO) and the U.S. Copyright Office (USCO) and intellectual property portfolio management. My experience includes advising on brand selection and development, clearance searches, strategic filings and registration, maintenance of registered trademarks, infringement monitoring, enforcement, and licensing.
Outside the Firm
He guest lectures at the University of Cincinnati College of Law and enjoys judging Ohio Center for Law-Related Education (OCLRE) competitions and volunteering at a local food pantry. He also serves as the Vice-Chair of the Ohio State Bar Association Intellectual Property Section.
